Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Rudiment Labs ("Rudiment," "we," "us," or "our") governing your access to and use of the Rudiment website, including any content, functionality, services, and resources offered on or through the website (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

Eligibility and Registration

You must be at least 18 years old or have the legal capacity to enter into these Terms under the laws of your jurisdiction to use our Services or create an account.

When you register for an account or submit information through our website, you agree to:

  • To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services
  • To attack the Services via a denial-of-service attack or a distributed denial-of-service attack
  • To use any robot, spider, or other automatic device, process, or means to access the Services for any purpose, including monitoring or copying any of the material on the Services

We reserve the right to terminate your access to our Services for violation of these prohibited uses or for any other reason in our sole discretion.

Intellectual Property Rights

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Rudiment, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use only. You must not:

  • Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from our Services, except as expressly permitted by these Terms
  • Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Services
  • Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text
  • Access or use for any commercial purposes any part of the Services or any services or materials available through the Services

If you provide any content to the Services (such as comments, feedback, or suggestions), you grant Rudiment a non-exclusive, perpetual, irrevocable, transferable, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any media, with the right to sublicense such rights.

Research Content and Information

The content on our Services is for informational purposes only. The research information, publications, and other materials provided through our Services do not constitute medical advice, diagnosis, or treatment recommendations.

We strive to ensure the accuracy and reliability of all information presented on our Services, but we make no representations or warranties about the completeness, accuracy, reliability, suitability, or availability of any information, products, services, or related graphics contained on our Services.

RUDIMENT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS; THAT THE CONTENT WILL BE ACCURATE, RELIABLE, OR CURRENT; OR THAT DEFECTS WILL BE CORRECTED.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL RUDIMENT, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES.

THIS INCLUDES ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR CONSEQUENTIAL DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Indemnification

You agree to defend, indemnify, and hold harmless Rudiment, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of the Services, including, but not limited to, any use of the Services' content other than as expressly authorized in these Terms
  • Your violation of any third party's rights, including, but not limited to, intellectual property rights, privacy rights, or publicity rights
  • Any content or information you submit, post, or transmit through the Services

Governing Law and Jurisdiction

These Terms and any disputes or claims arising out of or in connection with these Terms or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without giving effect to any choice or conflict of law provision or rule.

Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Massachusetts, and you hereby consent to the personal jurisdiction and venue therein.

Any cause of action or claim you may have arising out of or relating to these Terms or the Services must be commenced within one (1) year after the cause of action accrues, otherwise, such cause of action or claim is permanently barred.

Changes to Terms

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Services thereafter.

Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page periodically so you are aware of any changes, as they are binding on you.

We will make reasonable efforts to notify users of material changes to these Terms by posting a notice on our website or sending an email to registered users.

Termination

We may terminate or suspend your access to all or part of the Services, including your account, without notice, for any reason, including, without limitation, if we believe that you have violated or acted inconsistently with the letter or spirit of these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Rudiment regarding your use of the Services and supersede all prior and contemporaneous written or oral agreements.

Waiver: No waiver by Rudiment of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Rudiment to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be modified to reflect the parties' intention or eliminated to the minimum extent necessary and the remaining provisions will continue in full force and effect.

Assignment: These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you without our prior written consent but may be assigned by us without restriction.

Headings: The section titles in these Terms are for convenience only and have no legal or contractual effect.
